1. Introduction

Welcome to the Service operated by Counterguard ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Counter Guard's clinical drug reference platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Eligibility

You must be at least 18 years old to use Counter Guard. By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete information when creating an account
• You will maintain the security of your account credentials
• You will comply with all applicable laws and regulations

3. Account Registration and Tiers

3.1 Account Types

Counter Guard offers four subscription tiers:

• PUBLIC (Free): Limited access with usage restrictions (5 interaction checks and 10 drug lookups per 32-hour period)
• STUDENT ($9.99/month): Unlimited access with study tools. Requires valid .edu email verification from an accredited educational institution
• PROFESSIONAL ($49/month): Advanced clinical tools and patient context features. Requires verification of professional license (pharmacy, medical, nursing, or equivalent)
• ENTERPRISE (Custom Pricing): Team features, API access, and institutional deployment. Requires organizational verification and executed service agreement

3.2 Verification Requirements

Student and Professional tiers require verification:

• Student Verification: You must provide a valid .edu email address from an accredited educational institution. We reserve the right to verify enrollment status.
• Professional Verification: You must provide a valid professional license number, state/country of licensure, and may be required to upload supporting documentation. We verify licenses through state/national registries (NPI Registry, state boards of pharmacy/medicine/nursing).

Providing false information during verification is grounds for immediate account termination without refund.

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Not sharing your account with others

4. Acceptable Use

4.1 Permitted Uses

You may use Counter Guard to:

• Access drug monographs and clinical references
• Check drug-drug, drug-allergy, and drug-disease interactions
• Use clinical calculators and tools (Professional/Enterprise tiers)
• Generate reports for patient counseling or MTM documentation (Professional/Enterprise tiers)
• Integrate with EHR systems via API (Enterprise tier only)

4.2 Prohibited Uses

You may NOT use Counter Guard to:

• Diagnose medical conditions
• Prescribe medications or recommend treatments
• Provide personalized medical advice
• Replace professional clinical judgment or consultation with licensed healthcare providers
• Scrape, harvest, or automatically extract data from the Service
• Reverse engineer, decompile, or attempt to access source code
• Resell, redistribute, or sublicense access to the Service
• Use the Service for any unlawful purpose
• Attempt to circumvent usage limits or access controls
• Upload malicious code, viruses, or harmful content
• Impersonate another person or misrepresent your credentials

5. Subscription and Billing

5.1 Pricing

Counter Guard uses regional pricing based on purchasing power parity and applies location-aware subscription pricing.

5.2 Billing Cycle

Subscriptions are billed monthly or annually (if selected) on a recurring basis. Payment is due at the start of each billing period. We use Lemon Squeezy as our payment processor.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No partial refunds are provided for unused time, except as required by law.

5.4 Refund Policy

We offer a 30-day money-back guarantee for first-time subscribers. If you're not satisfied within 30 days of your initial subscription, contact support@counterguard.health for a full refund. This guarantee applies only to your first subscription and does not apply to renewals.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Counterguard and are protected by international intellectual property laws.

7. User Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

If you are a licensed healthcare professional, you remain solely responsible for all clinical decisions and patient care.

10. Indemnification

You agree to indemnify and hold harmless Counter Guard and its affiliates from claims arising from your use or misuse of the Service.

11. Termination

We may suspend or terminate your account for violation of these Terms, fraudulent activity, or non-payment.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Hisar, Haryana, India shall have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by applicable law.

13. Changes to Terms

We may update these Terms from time to time and will post changes on this page.

14. General Provisions

These Terms, with our Privacy Policy and Medical Disclaimer, form the entire agreement regarding use of the Service.
